These Terms of Service ("Terms") govern your access to and use of WorldClone Lab's services, software, and websites (collectively, the "Services"). By using our Services, you agree to these Terms.

1. Acceptance of Terms

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

WorldClone Lab provides AI-powered market validation tools that generate synthetic personas and simulate user reactions. Our Services include:

  • Persona generation and management (Cohorts)
  • Scenario execution and testing (Console)
  • Analysis and insights generation (Signals)
  • Related documentation and support

Important: All personas and simulation results are synthetic and do not represent real individuals. Results should be used as decision support, not as a replacement for real-world validation.

3. Account Registration and Security

3.1 Registration

You must create an account to use our Services. You agree to:

  • Provide accurate and complete information
  • Maintain and update your information
  • Keep your password secure
  • Be responsible for all activity under your account
  • Notify us immediately of unauthorized access

3.2 Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent that you meet this requirement.

4. Acceptable Use

You agree not to:

  • Use the Services for any illegal purpose or in violation of any laws
  • Attempt to reverse engineer, decompile, or disassemble our Services
  • Use the Services to create competing products or services
  • Misrepresent synthetic data as real user data
  • Use the Services to manipulate, deceive, or harm individuals or groups
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Services or servers
  • Transmit viruses, malware, or other malicious code
  • Violate the rights of others, including intellectual property rights
  • Use the Services to generate personas that target or discriminate against protected groups

5. Intellectual Property Rights

5.1 WorldClone Lab's IP

The Services, including all software, algorithms, designs, text, graphics, and other content, are owned by WorldClone Lab and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services subject to these Terms.

5.2 Your Content

You retain ownership of any content, data, or information you submit to our Services ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive license to use, process, and display Your Content solely to provide and improve our Services.

5.3 Synthetic Data

Synthetic personas and simulation results generated through our Services remain your property, subject to these Terms. You agree to label synthetic data appropriately and not misrepresent it as real user data.

6. Payment and Subscription

6.1 Fees

Certain features require payment. You agree to pay all applicable fees as described in your subscription plan. All fees are non-refundable except as required by law or as explicitly stated.

6.2 Billing

For subscription plans, you authorize us to charge your payment method on a recurring basis. You are responsible for keeping your payment information current.

6.3 Price Changes

We may change our fees with 30 days' notice. Continued use after the notice period constitutes acceptance of new fees.

7. Data and Privacy

Our collection and use of personal information is described in our Privacy Policy. You acknowledge that:

  • Processing of synthetic personas does not involve real personal data
  • We implement security measures to protect your information
  • You are responsible for your own compliance with data protection laws when using our Services
  • You must not input real personal data of individuals without proper legal basis

8. Disclaimers and Limitations

8.1 "As Is" Provision

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Accuracy of Synthetic Data

We do not guarantee that synthetic personas or simulation results will accurately predict real-world outcomes. Results should be used as one input among many in decision-making processes.

8.3 Service Availability

We do not guarantee uninterrupted or error-free access to our Services. We may modify, suspend, or discontinue any part of the Services at any time.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORLDCLONE LAB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM:

  • Your use or inability to use the Services
  • Decisions made based on synthetic data or simulations
  • Unauthorized access to or alteration of your content
  • Any other matter relating to the Services

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR $100, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify and hold harmless WorldClone Lab from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your use or misuse of synthetic data generated through our Services

11. Termination

11.1 By You

You may terminate your account at any time through your account settings or by contacting us.

11.2 By Us

We may suspend or terminate your access to the Services at any time for:

  • Violation of these Terms
  • Suspected fraudulent or illegal activity
  • Extended periods of inactivity
  • Any reason with 30 days' notice

11.3 Effect of Termination

Upon termination, your right to use the Services ceases. Sections that by their nature should survive termination will survive, including provisions regarding intellectual property, disclaimers, and limitations of liability.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

12.2 Arbitration

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may bring an action in court for injunctive relief.

12.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Services. Your continued use after notification constitutes acceptance of the modified Terms. If you do not agree, you must stop using the Services.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and WorldClone Lab regarding the Services.

14.2 Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

14.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.

14.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

14.5 Notices

We may provide notices to you via email or through the Services. You consent to receive communications electronically.
